To start a business and incorporate it with the state authority of California, you need to provide a name of your corporation, office address, and the details of a registered agent. Consider a situation when you unintentionally choose a name that has already been registered by a company, which is doing extremely well in terms of business and profits. You may, in such conditions, be accused of reaping profits from their name or even misleading the buyers. This would be considered unethical and a fraudulent activity. To avoid this, you have to select a name, which is unique and does not already exist. For this, you will need to research the database of the corporations.
There are two ways to conduct the research. One way is to conduct the research yourself. You can do a people/business search, browse through the Internet, and consult telephone directories or the patent databases. Alternatively, you can seek the help of some agency, which specializes in this field and conducts the search on your behalf.
Searches may be required for other purposes also. For example, a loss-making corporation may be trying to use your name and reputation to make quick bucks. There may be some criminal elements acting as representatives of your corporation and selling their own inferior products in the name of your corporation. In such a situation, you may have to seek the intervention of experts who can search out the defrauding corporation, its name, address and the date of its incorporation, registered agent, other officers and their particulars. In this way, corporation searches may be needed to conduct business smoothly.
